Welcome to iPREP.online (“iPREP,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of the iPREP website, study platform, course materials, practice questions, videos, explanations, dashboards, and any associated products and services (collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms, as well as our Privacy Policy and Cookie Policy. If you do not agree, do not access or use the Services.
1. Eligibility & Age Restrictions
The Services are intended for individuals 13 years of age or older (16 years in the EEA, where applicable). By using the Services, you represent and warrant that you meet the applicable age requirement and have the legal capacity to enter into these Terms. If you are under the age of majority in your jurisdiction, your parent or legal guardian is responsible for your use of the Services.
2. User Accounts, Identity & Security
Some features of the Services require registration or account creation. You agree to:
- provide accurate, current, and complete information;
- keep your account information updated;
- maintain the confidentiality of your login credentials;
- not share your credentials with any other person;
- notify us promptly of any unauthorized access, suspected misuse, or security breach involving your account; and
- cooperate with reasonable requests to verify your identity or authority in connection with account access or support.
Each account is for one natural person only. Unless we expressly authorize otherwise in writing, an account may not be shared, pooled, rotated, or used by more than one person.
We may require reasonable verification before changing an account email address, username, password-reset destination, account owner details, or other account-control information. We may deny, delay, reverse, or restrict such changes if we reasonably suspect fraud, unauthorized access, credential sharing, resale, misuse, or a dispute regarding account ownership or authority.
You are responsible for all activities conducted through your account, except to the extent caused by our own breach of these Terms or applicable law.
3. License to Use; Individual-Use Only
Subject to these Terms, we grant you a limited, non-exclusive, revocable, non-sublicensable, non-transferable license to access and use the Services during the applicable access period solely for your own personal, individual, non-commercial educational use.
Each purchase grants access for one named end user only. Unless we expressly authorize otherwise in writing, an account, course access, extension, referral reward, coupon-based access, or other usage right may not be:
- shared with another person;
- reassigned to another person;
- pooled among multiple users;
- rotated from one user to another;
- sublicensed, resold, rented, leased, or transferred; or
- used as part of any service offered to third parties.
If a school, employer, training company, recruiter, clinic, business, or other third party pays for an individual user’s access, the license remains personal to the designated end user and does not transfer to the payer. Third-party payment does not create any right to share the account, control the account, reuse the license for another person, or use the Services as part of a commercial training or test-prep offering.
Except where expressly permitted by us in writing, you may not:
- copy, reproduce, modify, adapt, translate, distribute, publicly display, publicly perform, publish, republish, or create derivative works from the Services or any content within them;
- use the Services or any content for commercial purposes, including as part of a tutoring, coaching, training, recruiting, assessment, educational delivery, or test-preparation service offered to any third party;
- share login credentials or otherwise permit another person to access your account;
- use one account for multiple students, employees, candidates, clients, or other users;
- scrape, crawl, harvest, systematically extract, or data-mine any content or information from the Services;
- use bots, scripts, or automated means to access the Services, except as expressly authorized by us in writing;
- reverse engineer, decompile, disassemble, or otherwise attempt to derive source code from any software or systems used in the Services, except where such restriction is prohibited by law;
- remove, obscure, or alter any copyright, trademark, or proprietary notices; or
- mirror the Services or any content on another server or platform.
This license automatically terminates if you breach these Terms.
4. Educational Content & No-Affiliation Notice
All questions, explanations, videos, study materials, and related content on iPREP are created for educational and tutoring purposes. iPREP is not affiliated with, endorsed by, or sponsored by any test provider, employer, licensing body, school, or trademark owner unless expressly stated by us in writing. All third-party test names, marks, and trademarks remain the property of their respective owners and are used only for descriptive or nominative purposes.
5. Accuracy, Availability & Updates
We strive to provide useful and accurate educational content, but the Services may contain technical, typographical, photographic, factual, or other errors. The Services are provided on an “as is” and “as available” basis. We may update, modify, suspend, remove, or replace any part of the Services at any time, with or without notice, and we do not guarantee that any content will remain available or current.
6. Fees, Payments, Refunds & Third-Party-Paid Accounts
Prices & Taxes. All prices are displayed in U.S. dollars unless stated otherwise and exclude applicable taxes, duties, currency-conversion charges, bank fees, and similar charges. You are responsible for all such amounts.
Payment Processing. Payments are processed by third-party payment providers. We do not store full payment card details.
One-Time Payments Only. Unless we expressly state otherwise on a specific checkout page, purchases are one-time payments for a fixed access period. They do not auto-renew.
Individual Accounts Only. Each paid access right applies to one designated end user and one account, unless we expressly agree otherwise in writing.
Third-Party-Paid Accounts. A school, employer, training company, parent, or other third party may pay for an individual user’s personal account only through a process approved by iPREP. In those cases, each user must still have a separate personal account. Unless we expressly agree otherwise in writing, third-party-paid access is non-transferable once activated and may not be converted into a shared, pooled, reseller, classroom, or commercial-use arrangement.
30-Day Money-Back Guarantee. You may request a full refund within 30 days of your first payment. Refund eligibility is limited to two (2) refunds per customer, unless otherwise required by applicable law.
Extensions, Credits & Promotions. Extensions, promotional access, referral rewards, credits, and similar benefits are personal, non-transferable, have no cash value unless required by law, and may be revoked if granted in error or obtained through misuse, fraud, chargeback activity, or a violation of these Terms.
Fraud, Chargebacks & Abuse. We may withhold, decline, reverse, or adjust refunds, credits, or access to the extent permitted by law where we reasonably believe there has been fraud, payment abuse, chargeback abuse, misuse of promotions, credential sharing, unauthorized transfer, or other violation of these Terms.
7. Referral Program
We may offer users the ability to participate in a referral or “Refer-a-Friend” program. Participation is voluntary and subject to the following terms:
- referral rewards are granted only when a referred user completes a qualifying paid purchase and only for the first qualifying referral of each unique buyer;
- referral rewards, credits, and related benefits are personal, non-transferable, and have no cash value unless required by law;
- self-referrals, fake accounts, manipulative activity, or attempts to generate multiple rewards contrary to program logic are prohibited; and
- referral rewards may be revoked if the qualifying purchase is refunded, reversed, charged back, or later found to be invalid.
We may modify, suspend, or terminate any referral program at any time, with or without notice.
8. User Conduct
You agree not to:
- violate any applicable law, regulation, court order, or third-party right;
- infringe intellectual-property, privacy, publicity, confidentiality, or data-protection rights;
- impersonate another person or misrepresent your identity, affiliation, authority, or eligibility;
- use the Services in any manner that is fraudulent, deceptive, abusive, harmful, or misleading;
- use the Services as part of a business, classroom, institutional, recruiting, consulting, training, or commercial test-prep offering for third parties, unless expressly authorized by iPREP in writing;
- interfere with or disrupt the security, operation, performance, or integrity of the Services;
- transmit malware, viruses, harmful code, spam, or unauthorized advertising or solicitations;
- attempt to bypass access controls, rate limits, or other technical restrictions; or
- collect or store personal information about other users except as expressly permitted by law and by us in writing.
9. Third-Party Links, Tools & Products
The Services may include links to third-party websites, tools, content, or products for convenience. We do not control, endorse, or assume responsibility for any third-party materials, services, or practices. Your dealings with third parties are solely between you and the third party.
10. Intellectual Property
The Services, and all content included in or made available through them, including without limitation text, questions, explanations, graphics, designs, videos, audio, logos, trademarks, software, compilations, and other materials, are owned by iPREP or its licensors and are protected by copyright, trademark, trade secret, and other applicable laws.
Except for the limited license expressly granted in Section 3, no right, title, or interest in or to the Services or any content is transferred to you. All rights not expressly granted are reserved by iPREP and its licensors.
11. Copyright Complaints
If you believe that content available through the Services infringes your copyright, please send a notice to info@iprep.online with the information reasonably necessary for us to investigate and respond to your claim, including the elements typically required under applicable copyright law.
12. Suspension, Termination & Enforcement
We may investigate suspected violations of these Terms.
We may, at any time and with or without notice, suspend, restrict, or terminate your account or access to all or part of the Services if we reasonably believe that:
- you have violated these Terms;
- your account is being shared, transferred, resold, or used by multiple users;
- your use of the Services is commercial, abusive, fraudulent, deceptive, harmful, or creates legal or operational risk for us or others;
- payment fraud, chargeback abuse, or other misuse has occurred; or
- suspension or termination is otherwise necessary to protect users, iPREP, or third parties.
As part of enforcement, and to the extent permitted by law, we may also refuse or reverse account changes, revoke extensions, credits, rewards, or promotional access, cancel pending orders, deny future purchases, block access by device or payment method, and determine refund handling in our discretion.
If we terminate or suspend your account for breach, you are not entitled to a refund except where required by law.
Upon termination, the license granted in Section 3 ends immediately, and you must cease all use of the Services.
13. Indemnification
To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless iPREP, its affiliates, licensors, service providers, and their respective directors, officers, employees, contractors, and agents from and against any claims, demands, actions, losses, liabilities, damages, judgments, settlements, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:
- your access to or use of the Services;
- your misuse of the Services;
- your violation of these Terms;
- your violation of any applicable law or third-party right; or
- any content, information, or materials you submit, transmit, or otherwise make available through the Services.
14. Disclaimers & No Warranties
To the fullest extent permitted by law, the Services are provided “as is” and “as available,” without warranties of any kind, whether express, implied, statutory, or otherwise. iPREP disclaims all warranties, including without limitation warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, security, accuracy, and reliability.
We do not warrant that:
- the Services will be uninterrupted, timely, secure, or error-free;
- defects will be corrected;
- the Services or servers are free from viruses or harmful components; or
- the Services will produce any particular testing, educational, employment, licensing, or career outcome.
We do not guarantee exam success, admission, certification, employment, or any other result.
15. Limitation of Liability
To the fullest extent permitted by law, iPREP and its affiliates, licensors, service providers, and their respective directors, officers, employees, contractors, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, opportunity, goodwill, data, or anticipated savings, arising out of or relating to your use of, or inability to use, the Services, even if advised of the possibility of such damages.
To the fullest extent permitted by law, our total aggregate liability for all claims arising out of or relating to the Services or these Terms will not exceed the greater of:
- the amount you paid to iPREP for the Services in the twelve (12) months preceding the event giving rise to the claim; or
- fifty U.S. dollars (US $50), if you have paid us nothing.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
16. Force Majeure
We are not liable for any delay, interruption, or failure to perform resulting from causes beyond our reasonable control, including natural disasters, war, terrorism, civil unrest, labor disputes, internet or hosting outages, software failures, cyberattacks, utility failures, governmental actions, epidemics, pandemics, or interruptions involving third-party service providers.
17. Export Controls & Sanctions
You may not access, use, export, re-export, or transfer the Services in violation of applicable export-control, sanctions, or trade laws or regulations, including those of the United States, the European Union, Israel, or other relevant jurisdictions. You represent that you are not located in, ordinarily resident in, or otherwise subject to restrictions applicable to any country, territory, or person with whom such dealings are prohibited.
18. Changes to the Services or These Terms
We may modify these Terms or the Services at any time. Updated Terms become effective when posted, unless we state otherwise. Your continued use of the Services after the effective date of updated Terms constitutes your acceptance of those changes.
We may also change, discontinue, or limit any feature, content, test, course, or functionality of the Services at any time.
19. Assignment
We may assign, transfer, delegate, or subcontract any of our rights or obligations under these Terms without restriction. You may not assign, transfer, delegate, sublicense, or otherwise dispose of any of your rights or obligations under these Terms without our prior written consent, and any attempted assignment in violation of this Section is void.
20. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.
21. No Waiver
Our failure to exercise or enforce any right or provision of these Terms does not waive that right or provision or any other right or provision.
22. Governing Law & Jurisdiction
These Terms and any dispute, claim, or controversy arising out of or relating to these Terms or the Services are governed by the laws of the State of Israel, without regard to conflict-of-law principles.
You agree that the competent courts in Israel will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, except where applicable law requires otherwise.
